Introduction

Indiwealth Technologies Private Limited ("Forward Wealth", "we", "us", "our") operates a digital platform — accessible via website and mobile application — that facilitates Loan Against Securities (LAS) services by connecting borrowers with regulated lenders.

Forward Wealth is a technology platform, not a lender. It does not provide credit directly. All credit is extended by our lending partner, Bajaj Finance Limited, a regulated NBFC, in accordance with RBI Digital Lending Guidelines (September 2, 2022).

Definitions

• Applicable Laws: All statutes, acts, ordinances, and guidelines issued by RBI, SEBI, IRDA, and other competent authorities
• Platform: The Forward Wealth website, mobile application, and all associated digital services
• Customer / Borrower: A registered user who applies for or avails a loan through the Platform
• Lender: Bajaj Finance Limited, or any other regulated bank or NBFC onboarded as a lending partner
• Securities: Mutual fund units, listed equity shares, bonds, and other eligible financial instruments accepted as collateral
• Partner: A third party with a referral or distribution arrangement with Forward Wealth
• Services: The credit facilitation, portfolio analysis, KYC, lien management, and related services provided through the Platform

Eligibility

To use the Platform, you must:

• Be a resident Indian citizen between the ages of 21 and 70
• Be legally capable of entering into a binding contract under the Indian Contract Act, 1872
• Hold a valid PAN and an eligible securities portfolio worth at least ₹50,000
• Meet the lending partner's credit eligibility criteria

Non-residents, minors, HUFs, and corporate accounts are not eligible for the digital lending flow. Forward Wealth reserves the right to modify eligibility criteria and decline any application at its discretion.

Registration and account

Visitors may browse the Platform without registration. To apply for a loan, you must create an account by providing accurate personal information including your name, PAN, mobile number, email address, bank account details, and residential address.

You are responsible for maintaining the confidentiality of your OTP and account credentials. Forward Wealth will never ask for your card number, CVV, or internet banking password. Any action taken via your account is your responsibility.

How the service works

Through the Platform, Forward Wealth facilitates the following on your behalf:

• Accessing your investment portfolio from CAMS, KFintech, NSDL, or CDSL (with your authorisation)
• Calculating your eligible credit limit based on the type and value of your securities
• Submitting your loan application to the lending partner
• Coordinating KYC and e-mandate setup
• Placing and releasing a digital lien on pledged securities
• Displaying your loan account, repayment schedule, and outstanding balance
• Sending payment reminders and alerts

You authorise Forward Wealth to access your financial data from RTAs, depositories, and brokers for the purpose of providing these services.

Your obligations

You agree to:

• Provide accurate, complete, and up-to-date information at all times
• Submit all documents requested by the Platform or lending partner in a timely manner
• Comply with the lending partner's terms and conditions, including repayment obligations
• Comply with all Applicable Laws, including RBI and SEBI guidelines
• Not use the Platform for any unlawful purpose or in any manner that disrupts the service

Pledged securities remain in your name but may not be sold or transferred until the lien is released by the lending partner upon full repayment of the outstanding amount.

Fees and charges

Forward Wealth reserves the right to charge fees for its platform services, subject to advance notice. All applicable government taxes and duties are your responsibility. In accordance with RBI Digital Lending Guidelines, no fees or charges will be collected directly or indirectly from borrowers under any DLG (Default Loss Guarantee) arrangement.

Disclaimer of warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Forward Wealth does not warrant that:

• The Platform will be uninterrupted, error-free, or free from viruses
• The information on the Platform is accurate, complete, or current
• The lending partner will approve any particular loan application
• The value of pledged securities will remain stable

Forward Wealth is not a warrantor, insurer, or guarantor of any loan or investment outcome.

Limitation of liability

To the maximum extent permitted by law, Forward Wealth is not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform or any loan transaction. This includes, without limitation, losses arising from changes in the market value of pledged securities.

Prohibited conduct

You must not:

• Use the Platform in violation of any Applicable Laws or third-party rights
• Attempt to access any account or data that is not your own
• Transmit viruses, malware, or any code designed to disrupt the Platform
• Impersonate any person or entity or misrepresent your identity or affiliation
• Send unsolicited commercial communications through the Platform
• Share another user's personal information without their consent

Intellectual property

All content on the Platform — including text, graphics, logos, and software — is the exclusive property of Indiwealth Technologies Private Limited or its licensors. You may not copy, modify, reproduce, republish, or distribute any content without our prior written permission. Unauthorised use may result in civil or criminal liability.

Changes to these terms

Forward Wealth reserves the right to modify these Terms of Use at any time. We will notify you of material changes via the Platform. Continued use of the Platform after notification constitutes acceptance of the revised terms.

Termination

Forward Wealth may terminate or suspend your access to the Platform at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Platform, its users, or third parties. Upon termination, we may retain your data and records in accordance with Applicable Laws.

Governing law and jurisdiction

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

Force majeure

Forward Wealth is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to internet outages, cyberattacks, system failures, government orders, epidemics, or natural disasters.

Miscellaneous

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Forward Wealth with respect to the Platform.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• No waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
• Assignment: Forward Wealth may assign its rights and obligations under these Terms without your consent.
• No agency: These Terms do not create any employment, partnership, joint venture, or agency relationship between you and Forward Wealth.
